1. Acceptance
By using Taskoneer (“Service”, “we”, “us”, “our”), you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Taskoneer provides workspace-based project management for independent professionals and their clients, including projects, tasks, milestones, Kanban boards, Gantt charts, templates, time tracking, progress reporting, quotes and proposals (including client acceptance via email link), retainers, welcome/onboarding packages, meetings, calendar views, guest invitations, project diagrams, messaging, scope change requests, file attachments, archiving, and per-seat subscription billing through Stripe.
3. Eligibility & Accounts
- You must be at least 18 years old.
- You must provide accurate account information and keep it updated.
- You are responsible for your account credentials and all activity under your account.
- Notify us promptly if you suspect unauthorised access.
4. Subscriptions & Billing
- Paid plans are billed per seat per billing interval (for example monthly). Seat count is chosen at signup or in subscription management.
- New workspaces may start on a free trial with full access and no payment card required until you upgrade to a paid plan.
- Billing is recurring and in advance; payments are processed by Stripe.
- Subscriptions auto-renew unless cancelled before renewal.
- You can cancel anytime; access continues until the end of the current billing period unless otherwise stated.
- Fees are non-refundable except where required by law or explicitly stated.
- Failed payments may result in suspension or loss of workspace access until resolved.
- Stripe subscription invoices and receipts are available through billing management. Taskoneer does not provide separate client invoicing unless we explicitly offer that feature.
5. Trials & Promotions
If we offer a free trial or promotion, it may change or end at any time. Unless you cancel before it ends, a trial may convert to a paid subscription when you add payment details and subscribe.
6. Acceptable Use
You will not misuse the Service. For example, you may not:
- Break the law, infringe rights, or violate others’ privacy
- Upload malware, attempt unauthorised access, or disrupt the Service
- Send spam or misuse automated access without permission
- Reverse engineer or attempt to extract source code where prohibited by law
7. Your Content
- You own the content you upload.
- You grant us a limited licence to host, store, process, and display your content to operate and improve the Service.
- You are responsible for ensuring you have rights to the content you provide and for what you share with workspace members, clients, and guests.
8. Our Intellectual Property
The Service (software, design, branding, and content we provide) is owned by Taskoneer or its licensors. These Terms grant you a limited right to use the Service, not ownership.
9. Workspaces
- Each workspace has a unique subdomain and isolated data store.
- Workspace owners manage members, seats, permissions, and billing for their workspace.
- Workspace data is shared with authorised members based on roles and project access.
- Team seats are permanent workspace members; project guests may have limited, project-scoped access without consuming a seat, as described in the product.
- We are not responsible for disputes between workspace members.
10. Third-Party Services
The Service integrates with third parties (for example Stripe for payments and diagrams.net for diagram editing). Your use of those services may be subject to their terms and policies. We are not responsible for third-party services outside our control.
11. Availability & Changes
The Service is provided “as available”. We may modify, suspend, or discontinue features, and we do not guarantee uninterrupted service.
12. Termination
- You can stop using the Service and delete your account from profile settings (cancel any active subscription first if required).
- Deleting a workspace owner account permanently deletes the workspace, its database, and related files, subject to limited retention described in our Privacy Policy.
- We may suspend or terminate access for violations, non-payment, legal requirements, fraud, or security risks.
13. Privacy
Your use of the Service is also governed by our Privacy Policy.
14. Disclaimers & Liability
To the maximum extent permitted by law, the Service is provided “as is” without warranties, and we are not liable for indirect or consequential damages. Our total liability for claims related to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim (unless law requires otherwise).
15. Indemnity
You agree to indemnify and hold Taskoneer harmless from claims arising out of your use of the Service, your content, or your violation of these Terms or others’ rights.
16. Disputes & Governing Law
These Terms are governed by the laws of Australia. Disputes will be handled through good-faith negotiation first, and then binding arbitration or courts in Australia where permitted. Class actions are waived where allowed by law.
17. Changes to Terms
We may update these Terms. Continued use after updates means you accept the revised Terms. The “Last updated” date on this page shows the latest revision.
